Greenhub Inc. · Henderson, Nevada 89052

Terms and Conditions

Effective date: October 6, 2026

Greenhub Inc. connects businesses with independent providers. We are solely a referral service—not the provider of payment processing, merchant accounts, equipment, leasing, financing, or other referred services.

1. Parties, scope, and eligibility

These Terms and Conditions ("Terms") govern use of Greenhub Inc.’s websites, website content, inquiry and statement-review features, and referral assistance. "Greenhub," "we," "us," and "our" mean Greenhub Inc., based in Henderson, Nevada 89052. "You" means the person using these features and, when authorized, the business on whose behalf that person acts.

By using these features or submitting a request after being given notice of these Terms, you agree to these Terms to the extent permitted by applicable law. If you do not agree, do not use them. You must be at least 18 and legally able to enter an agreement. If acting for a business, you represent that you have authority to do so.

A separately signed agreement with Greenhub controls over these Terms to the extent of a conflict concerning its subject matter. These Terms do not replace any independent provider’s agreement.

2. Greenhub is solely a referral service

GREENHUB IS SOLELY A REFERRAL SERVICE. GREENHUB IS NOT THE SERVICE PROVIDER. We help businesses explore options and may introduce them to independent third parties. We do not, by making a referral, become your payment processor, acquiring bank, merchant-account provider, payment gateway operator, POS vendor, equipment seller, lessor, lender, funder, insurer, or guarantor.

The applicable independent provider—not Greenhub—is responsible for offering, approving, contracting for, delivering, supporting, and administering its products and services. Greenhub does not underwrite or approve applications, settle or hold merchant funds, extend credit, fund advances, or guarantee provider performance through its referral role.

References to "our solutions," "our network," "partners," or similar wording describe referral access or business relationships, not ownership of the provider’s services. Nothing here creates a joint venture, fiduciary relationship, or authority for Greenhub to bind a provider. A referral agent cannot change a provider’s terms or make binding commitments for it.

3. Your relationship with providers

You decide whether to contact a provider, apply, or enter an agreement. Review and independently evaluate the provider’s contract, pricing, disclosures, privacy notice, and suitability before committing. Direct questions about its services or terms to that provider and obtain material promises in writing from it.

Approval, underwriting, rates, fees, reserves, funding, settlement timing, chargebacks, equipment availability, delivery, warranties, leases, cancellation, renewals, and termination are determined by the applicable provider and its agreement. Greenhub cannot promise approval, pricing, funding, savings, uninterrupted processing, or continued service.

Greenhub is not responsible for any lost, delayed, held, frozen, reserved, withheld, or unrecovered funds. Provider approval, underwriting decisions, deposit timing, reserves, account terminations, risk reviews, and any related fund holds or losses are solely matters between you and the applicable independent provider. Greenhub does not receive, custody, or control your funds, does not guarantee deposits or settlements, and has no obligation to reimburse amounts a provider fails to pay, delays, holds, or withholds for any reason.

Service complaints, billing questions, chargebacks, refunds, funding issues, equipment defects, and contract disputes should be directed to the provider responsible. We may help route an inquiry as a courtesy, but doing so does not transfer its obligations to Greenhub. These Terms do not excuse Greenhub’s own conduct where liability cannot lawfully be excluded.

4. Referral compensation and selection

Greenhub and its agents may receive referral fees, commissions, residual compensation, or other benefits from independent providers when a referral results in business. Compensation may vary by provider and arrangement and may create a financial incentive to make a referral.

Our network does not necessarily include every available provider, and a referral is not a representation that a provider offers the lowest price, best terms, or best fit in the entire market. Ask about any potential conflict relevant to your decision. No separate fee payable by you to Greenhub is created solely by these Terms; any such fee must be separately disclosed and agreed.

5. Website information, estimates, and AI

Content, pricing examples, comparisons, statement reviews, savings projections, and AI-generated responses are for general information and referral evaluation only. They are not a binding offer, provider approval, warranty, or legal, tax, accounting, investment, or lending advice. Obtain professional advice when needed.

Information may be incomplete, outdated, or affected by assumptions. Estimated savings and results depend on actual transaction mix, volume, provider costs, fees, eligibility, and contract terms. Past or example results do not guarantee future results. Verify current terms directly with the provider; its executed agreement controls over website summaries and informal communications.

AI output may contain errors. Do not rely on it as confirmation of eligibility or contractual terms. We may correct or remove website information without being required to honor an inaccurate description or estimate.

6. Your submissions and communications

You are responsible for ensuring that information you submit is accurate, lawful, and that you have permission to provide it. Do not submit someone else’s confidential information without authorization. Redact unnecessary sensitive identifiers from statements, and never submit passwords, bank-login credentials, full card numbers, or security codes through public forms or chat.

By requesting referral assistance, you authorize Greenhub to review your submission and share reasonably relevant information with agents and prospective providers for that request, subject to our Privacy Policy and applicable law. You retain ownership of your materials and grant us only the rights reasonably necessary to process the request, administer the referral, and meet legal obligations.

We and the providers involved may contact you about the inquiry using the contact details you supply. A general inquiry or acceptance of these Terms is not, by itself, consent to automated or prerecorded marketing calls or texts where separate consent is required by law. You can ask us to stop nonessential follow-up.

7. Acceptable use and account security

Do not use the website to violate law, misrepresent your identity or business, send malicious code or unsolicited spam, infringe rights, interfere with operation, probe security without authorization, bypass access restrictions, or access another person’s account or confidential information.

If given an account, keep credentials confidential, use only your authorized access, and promptly report suspected misuse. We may limit or suspend access when reasonably necessary to address misuse, security concerns, legal requirements, or termination of the relevant relationship. Suspension does not cancel rights under a separate provider agreement.

8. Content and third-party links

Greenhub website content, branding, and software are owned by Greenhub or its licensors and protected by applicable law. You may use them for ordinary website access and internal evaluation of a referral. Other copying, resale, publication, or exploitation requires permission or another lawful basis. Third-party marks remain the property of their owners.

Links, videos, scheduling tools, application forms, and third-party websites are provided for convenience. They operate under their own terms and privacy practices. A link or logo does not guarantee the provider’s performance, legal compliance, financial condition, or continued availability.

9. No warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR WEBSITE, CONTENT, AND REFERRAL ASSISTANCE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that information will be error-free, that the website will always be available or secure, or that a referred service will satisfy your requirements.

These disclaimers do not limit a warranty expressly made in a separately signed Greenhub agreement or any nonwaivable statutory right. Provider warranties, if any, are those offered by the provider, not by Greenhub.

10. Limitations of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREENHUB WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, OR GOODWILL ARISING FROM THE WEBSITE OR REFERRAL ASSISTANCE. Without limiting the foregoing, to the maximum extent permitted by law Greenhub will not be liable for any funds that are lost, delayed, held, frozen, reserved, or withheld by a referred provider, or for any loss arising from a provider's failure to settle, deposit, release, or return funds.

To the maximum extent permitted by law, Greenhub’s aggregate liability arising from the website or referral assistance will not exceed the greater of US $100 or the fees you actually paid directly to Greenhub for the affected referral assistance in the 12 months before the event giving rise to the claim. Amounts paid to an independent provider are not fees paid to Greenhub.

These limitations do not exclude or limit fraud, willful misconduct, gross negligence, or any other liability or remedy that applicable law does not permit us to exclude or limit. They do not remove mandatory consumer or privacy protections. If a limitation is prohibited in your jurisdiction, it applies only to the extent lawful. Greenhub remains responsible for its own legally actionable conduct; referral status alone does not provide immunity.

11. Responsibility for misuse

To the extent permitted by law, if you use the website on behalf of a business, that business agrees to defend, hold harmless, and indemnify Greenhub against third-party claims and reasonable costs (including reasonable attorneys’ fees) arising from its unlawful use, unauthorized submissions, infringement of another person’s rights, material breach of these Terms, or information or materials the business chooses to share with a referred provider. This does not cover claims to the extent caused by Greenhub’s own negligence, misconduct, or violation of law.

We will provide reasonably prompt notice of a covered claim and reasonable cooperation. No settlement may impose an admission, nonmonetary obligation, or unreimbursed payment on Greenhub without its consent. This section does not impose an indemnity obligation on an individual consumer where prohibited by law.

12. Governing law and disputes

Subject to mandatory law and rights that cannot be waived, these Terms are governed by Nevada law, without applying conflict-of-law principles. Where a valid forum agreement is permitted, disputes concerning these Terms will be brought in the state courts in Clark County, Nevada, or the federal court serving that county, as applicable to the claim.

This provision does not deprive you of mandatory protections or a forum available under applicable nonwaivable law. These Terms do not require arbitration or waive class-action rights. Provider disputes remain subject to the applicable provider agreement. Before filing a claim, you may contact us to seek an informal resolution; doing so is not a mandatory waiver or shortening of a legal deadline.

13. Changes, general provisions, and contact

We may revise these Terms prospectively by posting an updated effective date. Material changes requiring notice or affirmative agreement under applicable law will be handled accordingly. Changes will not retroactively alter an accrued claim or a separately signed agreement without a lawful basis.

If a provision is unenforceable, the remaining provisions remain effective to the extent permitted by law. Failure to enforce a provision is not a waiver. These Terms and incorporated notices describe the website and referral-use terms; they do not modify a provider contract. No third party receives enforcement rights under these Terms unless expressly provided by law.
